Service Scope
Services are provided as per the agreed scope in individual service agreements or statements of work.
Service Hours
Standard services are provided during business hours unless otherwise specified in your service agreement.
Service Levels
Specific service levels and response times are detailed in individual Service Level Agreements (SLAs).
3. Payment Terms
Clients are required to adhere to the billing cycle and procedures outlined below:
Billing Cycle
Services are billed monthly in advance unless otherwise specified in your contract.
Late Payments
Accounts more than 30 days overdue may be suspended until payment is received.
Price Changes
We reserve the right to adjust prices with 30 days' written notice to clients.
Taxes
All prices exclude VAT unless otherwise stated. Clients are responsible for applicable taxes.
4. Liability & Warranties
Our liability bounds, exceptions, and indemnity frameworks are structured as follows:
Limited Liability
Our liability is limited to the amount paid for services in the 12 months preceding the claim.
Exclusions
We are not liable for indirect, incidental, or consequential damages.
Warranty
Services are provided "as is" with warranties limited to those specified in your service agreement.
Indemnification
You agree to indemnify us against claims arising from your use of our services.
5. Termination
Client Termination
Clients may terminate services with 30 days' written notice. Early termination fees may apply as per your contract.

We may terminate services with 30 days' notice or immediately for breach of terms or non-payment.
6. Intellectual Property
Our IP
All pre-existing intellectual property remains our exclusive property.
Client IP
Your pre-existing intellectual property remains your exclusive property.
Work Product
Custom work product is licensed to you as specified in individual agreements.
7. Governing Law
Jurisdiction
These terms are governed by and construed in accordance with the laws of England and Wales.
Disputes
Any disputes shall be subject to the exclusive jurisdiction of the English courts.
